Tianli International Completes Internal Reorganization; 100% Stake in Sichuan Qiming Shifted to Shenzhen Qiming

Tianli International Holdings Limited announced the completion of an internal reorganization on 15 September 2026, involving the transfer of all equity in Sichuan Qiming Daren Technology Co., Ltd. from Qiming Daren (Zhuhai Hengqin) Education Technology Co., Ltd. to Shenzhen Qiming Daren Technology Co., Ltd.

Prior to the transaction, Sichuan Qiming was wholly owned by Qiming Zhuhai, which is controlled through structured contracts by Tianli Education—an entity already consolidated into Tianli International’s financial statements. Following the equity transfer, Shenzhen Qiming, an indirect wholly owned subsidiary of Tianli International, now directly holds 100% of Sichuan Qiming.

The reorganization leaves Tianli International’s ultimate control over Sichuan Qiming unchanged and maintains full consolidation of the subsidiary’s financial results. Management stated that the restructuring is designed to manage the Group’s education-technology operations separately from other education services, improving strategic clarity, financial oversight, and resource allocation.
