RUSAL Subsidiary Extends RUB 150.00 Billion Guarantee; Deal Represents 18.13% of Group Assets

United Company RUSAL (RUSAL) reported that its wholly owned subsidiary, JSC “RUSAL Krasnoyarsk aluminium smelter,” signed an Additional Agreement on 11 September 2026 that significantly amends a prior suretyship arrangement concluded on 27 February 2025.

The new terms commit the subsidiary to guarantee repayment obligations of up to RUB 150.00 billion under a credit-transaction framework between the borrower, JSC “Russian Aluminium,” and an undisclosed lender. The loans may be denominated in either Russian rubles or Chinese yuan and must be repaid no later than 2,555 calendar days from the agreement’s effective date, with the overall guarantee expiring on 21 January 2035.

Interest ceilings are set at: • Fixed 24% per annum for both ruble and yuan loans. • Floating options of (i) the Bank of Russia key rate + 6 percentage points for ruble loans, or (ii) LPR 1Y + 6 percentage points / RUSFAR + 6 percentage points for yuan loans. The lender reserves the right to raise fixed rates if the Bank of Russia key rate advances by more than 1 percentage point, or if LPR 1Y or RUSFAR rise by over 0.75 percentage points.

The total deemed value of this major transaction is RUB 359.94 billion, equating to 18.13% of RUSAL’s consolidated assets as of 30 June 2026. Shareholder consent was granted on 3 September 2026.

Failure by the borrower to meet obligations will trigger payment by the guarantor within five business days of a lender’s demand. The guarantee remains valid through the stated expiry date, reinforcing RUSAL’s financing framework for long-term borrowing in both domestic and yuan markets.
