King Fook Holdings AGM Ratifies FY26 Results, Confirms HK10.60-Cent Dividend; All Resolutions Secure Near-Unanimous Support

King Fook Holdings Limited (the Company) reported a smooth annual general meeting on 16 September 2026, with every motion receiving overwhelming shareholder endorsement via poll voting.

Shareholder Participation • Voting rights attached to 909.31 million shares were eligible to be exercised at the meeting. • Actual votes cast reached 605.46 million shares, representing 66.61% of the share capital entitled to vote.

Key Resolutions and Voting Outcomes 1. FY26 audited financial statements and reports were adopted with 100% of votes cast in favour. 2. Shareholders approved a final cash dividend of HK2.60 cents and a special dividend of HK8.00 cents per ordinary share, also with 100% support. 3. Director elections and related remuneration authorisation received at least 99.99% affirmative votes, re-appointing Richard Tang Yat Sun, Hamilton Ho Hau Hay, Benedict Sin Nga Yan and Lam Chi Wai. 4. Deloitte’s re-appointment as auditor, together with authority for the board to fix its fee, was backed by 99.85% of votes. 5. General mandates enabling the board to issue new shares and repurchase up to 10% of the Company’s shares were passed, each garnering at least 99.85% approval.

Procedural Details Computershare Hong Kong Investor Services Limited acted as independent scrutineer. No shares were subject to mandatory abstention under Hong Kong Listing Rules, and no shareholders elected to abstain in favour of any resolution.

Board Attendance All directors were present at the AGM, underscoring full board engagement in governance matters.

The AGM results leave management fully mandated to execute strategic initiatives, distribute the approved HK10.60-cent total dividend for the year ended 31 March 2026, and manage future capital actions within the newly granted authorities.
