Superland Group: Dispatch of Mandatory Offer Document Pushed Back to 25 September as Grand Junction Intelligence Seeks Extension

Superland Group Holdings Limited (Superland Group) and Grand Junction Intelligence Co., Limited (Grand Junction Intelligence) jointly announced on 25 August 2026 that the mailing of their Composite Document for the pending mandatory unconditional cash offer has been delayed by one month.

Originally scheduled for distribution on or before 25 August 2026—21 days after the 4 August Joint Announcement—the Composite Document will now be dispatched on or before 25 September 2026, subject to final consent from the Securities and Futures Commission’s Executive. The extension request was made to allow additional time to complete key sections, including: • the Board’s letter, • the Group’s financial information for the six months ended 30 June 2026, and • the Independent Financial Adviser’s letter of advice.

The Composite Document will set out full details of the mandatory unconditional cash offer by Octal Capital Limited and Get Nice Securities Limited, acting for and on behalf of Grand Junction Intelligence, to acquire all issued shares of Superland Group not already held or agreed to be acquired by Grand Junction Intelligence and its concert parties (including STFV).

A further announcement will be issued once the Composite Document and accompanying Form of Acceptance are dispatched or if there are any changes to the expected timetable.
