China Properties Investment Calls 30 September 2026 AGM; Seeks Fresh Share Issuance and Buy-Back Mandates, Board Re-elections, and Bye-law Overhaul

China Properties Investment Holdings Limited has scheduled its annual general meeting for 30 September 2026 at 10:30 a.m. in Hong Kong’s Wharney Guang Dong Hotel. Shareholders on record as of 30 September 2026—with the register closed from 25 to 30 September—are eligible to attend and vote.

Key ordinary resolutions include:

• Financial Statements: Receipt of the audited consolidated results and directors’ and auditors’ reports for the financial year ended 31 March 2026. • Board Composition: Re-election of Executive Director Au Tat On and Independent Non-Executive Director Liang Kuo-Chieh, plus a blanket authority for the board to fill casual vacancies or add directors. • Remuneration: Authorisation for the board to set directors’ fees. • Auditor: Reappointment of Jon Gepsom CPA Limited and authorisation for its fee determination.

Capital management proposals dominate the agenda:

• Share Issuance Mandate: Directors seek authority to allot and issue new shares up to 20% of the company’s issued share capital during the mandate period, excluding rights issues, conversion of existing convertible securities, option exercises, and scrip dividends. • Share Buy-Back Mandate: Approval to repurchase up to 10% of issued shares on the Hong Kong Stock Exchange or other approved venues. • Mandate Extension: Conditional resolution to expand the issuance limit by the amount of shares bought back, effectively allowing an additional 10% issuance if the repurchase mandate is fully utilised.

A special resolution proposes comprehensive amendments to the company’s bye-laws, consolidating changes detailed in the 7 September 2026 circular. Implementation will authorise any director or the company secretary to handle related filings in Hong Kong and Bermuda.

Proxy forms must reach Tricor Investor Services Limited no later than 48 hours before the meeting. The board currently comprises Executive Directors Han Wei (Chairman), Au Tat On, Wang Linbo, and Independent Non-Executive Directors Tang Yiu Kay, Cao Jie Min, and Liang Kuo-Chieh.
