Fu Shou Yuan Appoints Octal Capital as Independent Adviser for Gong Hailin’s Partial Cash Offer

Fu Shou Yuan International Group Limited (“Fu Shou Yuan”) has engaged Octal Capital Limited as the Independent Financial Adviser to its Independent Board Committee in connection with the pending partial voluntary cash offer from Gong Hailin.

The offer, first announced on 1 September 2026, proposes that AFG Securities Limited, acting for and on behalf of Gong Hailin (the “Offeror”), acquire up to 115.00 million shares of Fu Shou Yuan. Octal Capital—licensed for Type 1 (dealing in securities) and Type 6 (advising on corporate finance) activities under Hong Kong’s Securities and Futures Ordinance—will assess whether the terms of the cash offer are fair and reasonable and advise on acceptance recommendations. Its formal advice, alongside the Independent Board Committee’s view, will be disclosed in Fu Shou Yuan’s forthcoming response document.

Trading in Fu Shou Yuan’s shares has been suspended since 9:00 a.m. on 20 March 2026 and will remain halted until further notice. Shareholders and potential investors are urged to exercise caution when dealing in the company’s securities.

The board currently comprises two executive directors (Chairman Bai Xiaojiang and Ho Man), three non-executive directors (Tan Leon Li-an, Lu Hesheng and Huang James Chih-Cheng) and seven independent non-executive directors (Liang Yanjun, Shi Xiaobei, Chen Gui, Ng Michael Chiu Ho, Zhao Guangbin, Zhou Quan and Qian Qian).
