Zhongzheng International completes TargetCo acquisition, issues 341.90 million new shares and adds Zhang Yuanzhou to board

Hong Kong – 15 June 2026 – Zhongzheng International Company Limited announced the closing of its previously disclosed acquisition of the entire equity interest in TargetCo, together with a shareholder loan of RMB22.00 million. All contractual conditions were satisfied or waived, and TargetCo has become a wholly owned subsidiary whose financials will be fully consolidated into the Group’s accounts.

To speed up completion, the board waived Condition (xii), which required delivery of pro-forma combined accounts showing net asset value of at least RMB20.00 million. Alternative due-diligence work—review of monthly management accounts to 31 May 2026 and preparation of a pro-forma balance sheet—indicated the Target Group’s net asset value exceeded the threshold, and no material adverse changes were noted up to completion.

Financing structure • 341.90 million consideration shares were allotted to the vendor at HK$0.1828 each, representing 16.6 % of the enlarged share capital.

Shareholding impact • Total issued shares increased from 1,718.70 million to 2,060.60 million. • Major holders after completion: – Mr. Low Thiam Herr: 33.9 % (unchanged in absolute shares) – Mr. Lim Kim Chai, J.P.: 21.4 % – Vendor: 16.6 % – Public shareholders: 28.1 %

Board changes Effective 16 June 2026, Mr. Zhang Yuanzhou (aged 40) joins Zhongzheng International as an executive director. Zhang, currently director and general manager of subsidiary YS Tech, holds a bachelor’s degree in Computer Science from Sun Yat-sen University and brings 17 years of IT and digital R&D experience. His service agreement runs for an initial three-year term at a monthly remuneration of HK$100,000, renewable annually thereafter.

The board welcomed Mr. Zhang’s appointment and confirmed that, other than the disclosed information, he has no relationships with existing directors, senior management or substantial shareholders and holds no interest in the company’s securities.
