HUAJIN INTL Schedules 25 June 2026 AGM; Seeks 20% Issuance Mandate and 10% Share Buy-back Authority

Huajin International Holdings Limited (HUAJIN INTL) will convene its annual general meeting (AGM) on 25 June 2026 at 2:30 p.m. in Hong Kong (Unit 4, 20/F, New Trend Centre, 704 Prince Edward Road East, San Po Kong, Kowloon). Shareholders of record as at 4:00 p.m. on 18 June 2026 must ensure share transfers are lodged by that time; the register of members will be closed from 22 to 25 June 2026, both days inclusive.

Key resolutions to be tabled:

• Financial statements: Shareholders will vote on the adoption of the audited consolidated financial statements and the directors’ and independent auditor’s reports for the year ended 31 December 2025.

• Board composition: The company proposes the re-election of Executive Directors Mr Xu Songqing and Mr Chen Chunniu, and Non-executive Director Mr Xu Jianhong. The Board will be authorised to determine individual director remuneration.

• Auditor: KTC Partners CPA Limited is nominated for re-appointment as external auditor, with remuneration to be fixed by the Board.

• Issuance mandate: Management is seeking a general mandate permitting the Board to allot, issue or deal with additional shares and convertible securities up to 20% of the company’s issued share capital (excluding treasury shares) as of the AGM date. This authority would run until the next AGM, the statutory deadline for holding it, or any earlier revocation by shareholders.

• Share buy-back mandate: A parallel mandate would authorise the company to repurchase up to 10% of its issued shares (excluding treasury shares) on the open market during the same mandate period.

• Mandate extension: Contingent on the approval of the above two mandates, the share issuance limit could be increased by the number of shares bought back, effectively allowing an additional issuance amount up to 10% of issued capital.

Shareholders may appoint proxies to vote on their behalf; proxy forms must be lodged with Union Registrars Limited no later than 48 hours before the meeting. The notice also outlines contingency arrangements for severe weather on the meeting date.

As at 29 April 2026, the Board comprises Executive Directors Mr Xu Songqing (Chairman) and Mr Chen Chunniu (CEO), Non-executive Director Mr Xu Jianhong, and Independent Non-executive Directors Mr Chan Oi Fat, Mr Ou Qiyuan and Ms Yip Nga Ting Cerin.
