Key developments 1. Share cancellation: • On 14 September, 530,000 shares acquired on 10 September were cancelled, reducing the issued share capital by 0.0031% to 17.16 billion shares.

2. New repurchases on 14 September: • United Kingdom venues (London Stock Exchange, Cboe Europe CXE & BXE, Turquoise, Aquis): 800,000 shares purchased for cancellation at an average price of GBP 15.33, for a total consideration of GBP 12.27 million. • Hong Kong Stock Exchange: 314,400 shares bought for cancellation at an average price of HKD 164.00, amounting to HKD 51.57 million.

3. Shares pending cancellation: • Including the latest trades, 5.46 million shares repurchased between 27 August and 14 September remain to be cancelled, equivalent to approximately 0.03% of the current share base.

Mandate utilisation and capacity • Since shareholder authorisation on 8 May 2026, HSBC has repurchased 29.53 million shares, representing 0.17% of the 2026 AGM share count. • The board is authorised to repurchase up to 1.72 billion shares before the 2027 AGM (or 30 June 2027, whichever is earlier), leaving over 1.69 billion shares of capacity.

Capital management considerations • A 30-day moratorium on issuing new shares or selling treasury shares applies until 14 October 2026, except for contingently convertible securities covered by prior Exchange consents granted on 11 February and 13 July 2026.

Post-transaction capital structure • Issued shares outstanding (post-14 September cancellation): 17.16 billion. • No treasury shares are held.
