Fu Shou Yuan: Regulatory Consent Secured for Gong Hailin’s Voluntary Cash Partial Offer Up to 115 Million Shares

Fu Shou Yuan International Group Limited (Fu Shou Yuan) disclosed that Offeror Ms. Gong Hailin has obtained all regulatory approvals required to proceed with her previously announced pre-conditional voluntary cash partial offer.

On 14 September 2026, the Hong Kong Takeovers Executive: 1. Consented to the partial offer under Rule 28.1 of the Takeovers Code. 2. Granted a waiver allowing the offer price to be set at more than a 50 % discount to both the last-traded and five-day average share prices. 3. Granted a waiver from Rule 28.7, permitting the purchase of a share range rather than a fixed number, subject to a hard cap of 115.00 million shares and a final closing date no later than 28 days after the offer document is issued unless further consent is obtained.

The offer document, containing full terms and the form of acceptance, must be dispatched to Fu Shou Yuan shareholders by 22 September 2026 in accordance with Rule 8.2 of the Takeovers Code. AFG Securities Limited is acting as financial adviser and offer agent to Ms. Gong Hailin.

The Offeror reiterates responsibility for the accuracy of all information disclosed and advises qualifying shareholders to review both the forthcoming offer document and Fu Shou Yuan’s response circular before making any acceptance decision.
