The Board of Directors of Weichai Power Co., Ltd. announced an updated governance structure effective 14 September 2026. The Board now comprises 13 members, including five Executive Directors, one Employee Representative Director, three Non-executive Directors and four Independent Non-executive Directors.

Executive leadership is headed by Chairman Ma Changhai and General Manager Wang Decheng. The sole Employee Representative Director is Huang Weibiao. Non-executive Directors are Wang Yanlei, Zhang Liangfu, Richard Robinson Smith and Michael Martin Macht. The four Independent Non-executive Directors are Chi Deqiang, Xu Bing, Tao Huaan and Zhang Weili; Zhang Bo also serves as an Independent Non-executive Director and chairs multiple committees.

Five specialised committees have been constituted:

1. Audit Committee – chaired by Zhang Bo with Chi Deqiang, Xu Bing and Tao Huaan as members.

2. Remuneration Committee – chaired by Zhang Bo; Ma Changhai acts as Vice-chairman, with Zhang Liangfu, Tao Huaan and Zhang Weili serving as members.

3. Nomination Committee – chaired by Ma Changhai; Zhang Bo and Michael Martin Macht serve as Vice-chairman and member respectively, alongside Chi Deqiang and Zhang Weili.

4. Strategic Development and Investment Committee – chaired by Ma Changhai with Wang Decheng (Vice-chairman), Ma Xuyao, Huang Weibiao and Zhang Liangfu as members.

5. Environmental, Social and Governance Committee – chaired by Zhang Bo; Vice-chairman Michael Martin Macht is joined by Chi Deqiang, Tao Huaan and Zhang Weili.

The announcement underscores Weichai Power’s commitment to a balanced governance framework, combining executive insight, employee representation and independent oversight across all core committees.
