Acme International outlines 22 June AGM agenda: new share mandates, PwC re-appointment and planned renaming to Green Power Group

Acme International Holdings Limited released a circular dated 21 May 2026 detailing resolutions to be tabled at its annual general meeting on 22 June 2026 at Artyzen Club, Hong Kong.

Key proposals

1. Capital mandates • Issue mandate: Directors seek authority to allot and issue up to 20% of the issued share capital, excluding any treasury shares, as at the AGM date. • Buy-back mandate: Board requests approval to repurchase up to 10% of the 1.02 billion shares in issue, representing a ceiling of 101.72 million shares. The mandate will lapse at the next AGM or earlier if varied or revoked. • Extension: The issue mandate may be enlarged by the number of shares actually repurchased under the buy-back mandate.

2. Board composition Independent non-executive directors Prof. Hon. Lau Chi Pang and Mr. Richard Chin Wai Keung retire by rotation and stand for re-election. Both currently receive HK$144,000 in annual directors’ fees.

3. Auditor PricewaterhouseCoopers is nominated for re-appointment. The agreed audit fee for the year ending 31 December 2026 is estimated at HK$2.40 million–HK$2.60 million.

4. Change of corporate identity Subject to shareholder and Cayman Islands approval, the company intends to change its English name to “Green Power Group Limited” and its Chinese name to “綠色電能集團有限公司”. Existing share certificates will remain valid; new certificates will bear the new names.

Shareholding impact of a full buy-back • Treasure Ship Holding Limited, currently at 21.55%, would rise to 23.94%. • Mr. Liao Shigang’s interest would increase from 6.02% to 6.69%. The board states it does not intend to repurchase shares to a level that would trigger a mandatory offer under the Hong Kong Takeovers Code or reduce the public float below 25%.

Timetable and administrative details • Register of members will be closed 16–22 June 2026. • Proxy forms must be lodged by 2:30 p.m. on 20 June 2026. Voting at the AGM will be conducted by poll in accordance with Listing Rule 13.39(4).
