Superland Group Sets 23 June 2026 AGM; Board Seeks 20% Share Issue Mandate and 10% Buy-Back Authority

Superland Group Holdings Limited will convene its Annual General Meeting (AGM) at 11:00 a.m. on 23 June 2026 at Room D, The LU+, 3/F, Lu Plaza, Kwun Tong, Hong Kong. The meeting will address both routine and special business, including several capital-management mandates.

Key agenda items

1. Financial statements • Shareholders will receive and consider the audited consolidated financial statements and reports of the directors and auditor for the year ended 31 December 2025.

2. Board composition and remuneration • Re-election of six directors: executive director Ng Chi Chiu; non-executive directors Louie Dicky and Ho Nga Ling; and independent non-executive directors Law Hung Wai, CPA, and Ho Ka Yan. • Authorisation for the board to set directors’ remuneration.

3. Auditor • Re-appointment of PricewaterhouseCoopers as external auditor and authorisation for the board to fix its remuneration.

Capital-management resolutions

4. General share issue mandate • Directors seek authority to allot and issue shares—or resell treasury shares—up to 20% of the company’s issued share capital (excluding treasury shares) as at the date of the AGM. • The mandate extends to issuing securities convertible into shares and remains effective until the earlier of the next AGM, expiry of the statutory period for holding the next AGM, or revocation by shareholders.

5. Share buy-back mandate • Authority to repurchase up to 10% of issued shares (excluding treasury shares) on the Stock Exchange or other recognised markets. • The mandate runs for the same “Relevant Period” defined above.

6. Extension mandate • Shares repurchased under the 10% buy-back authority can be added to the 20% general issue mandate, effectively increasing the potential issuance capacity by the volume repurchased.

Administrative details

• The register of members will close from 17 June 2026 to 23 June 2026 (both days inclusive). Shareholders must lodge transfer documents by 4:30 p.m. on 16 June 2026 to qualify for AGM attendance and voting rights. • Proxy forms must reach Tricor Investor Services Limited by 11:00 a.m. on 21 June 2026. • Voting at the AGM will be conducted by poll in accordance with Hong Kong Listing Rules. • Contingency arrangements are in place for adverse weather, with any rescheduling to be announced via HKEX and the company’s website.

The proposed mandates aim to provide Superland Group’s board with flexibility for equity financing, treasury-share management and capital structure optimisation during the forthcoming year, subject to shareholder approval at the AGM.
