Tencent Issues 722 New Shares and Repurchases 0.23 Million Shares on 16 September 2026

Tencent Holdings Limited (Tencent) filed a Next Day Disclosure Return on 16 September 2026 detailing marginal share issuance and continued share buybacks.

A total of 722 new ordinary shares were issued on 16 September 2026 upon the exercise of options granted under the 2023 Share Option Scheme at a weighted average price of HKD 292.08. The issuance enlarged Tencent’s share capital from 9.095085271 billion shares to 9.095085993 billion shares, an immaterial 0.00001% increase.

On the same trading day, Tencent repurchased 231,000 shares on the Hong Kong Stock Exchange at prices ranging between HKD 432.8 and HKD 438.8 per share, for an aggregate consideration of HKD 100.45 million. These shares are earmarked for cancellation.

Including repurchases executed from 8 to 16 September 2026 that are still pending cancellation, Tencent now holds 1.62 million shares (approximately 0.02% of the current share count) awaiting cancellation.

Under the repurchase mandate approved on 13 May 2026, Tencent is authorised to buy back up to 911.80 million shares. Cumulative repurchases under this mandate total 45.78 million shares, representing 0.50% of the issued share base on the mandate date.

Pursuant to Main Board Rule 10.06(3)(a), the company is subject to a 30-day moratorium—until 16 October 2026—on issuing new shares or transferring treasury shares following the above repurchase activity. The board confirms that all transactions were executed in accordance with Hong Kong listing rules and relevant regulatory requirements.
