Dtech Pledges RMB700 Million to Establish Advanced New-Materials Manufacturing Base in Dongguan

Guangdong Dtech Technology Co., Ltd. (Dtech) disclosed that its wholly owned subsidiary, Dongguan Dingtaixin Electronics Co., Ltd., will invest RMB700.00 million to build the “Dingtaixin Advanced New Materials Manufacturing Base” in Houjie Town, Dongguan City, Guangdong Province.

The project focuses on R&D and production of non-woven brushes, ceramic brushes, brush wheels, functional films and glass coatings. Of the total commitment, RMB560.00 million is earmarked for fixed assets—including buildings, equipment and land premium—while the remaining RMB140.00 million will cover ancillary outlays.

Key performance undertakings • Investment intensity: no less than RMB11.11 million per mu overall and RMB8.88 million per mu for fixed assets. • Operational targets: from the second full fiscal year of operation, annual industrial output value must reach at least RMB14.25 million per mu, and average fiscal contribution at least RMB1.00 million per mu, assessed every two years over a 10-year horizon.

Land acquisition terms To secure the 42,666.24 sq.m. site (Class I industrial land) within Houjie’s TOD area, Dingtaixin will sign a 50-year State-owned Construction Land Use Right Grant Contract with the Dongguan Natural Resources Bureau. The land will be awarded via public tender; pricing will be set in the final grant contract and related transaction documents.

Strategic rationale Dtech’s Board expects the new facility to expand high-end electronic materials capacity, create synergies with its existing PCB precision-cutting tool operations and strengthen the group’s integrated industrial ecosystem, providing additional long-term profit drivers. Project funding will come from internal resources and/or self-raised funds, with deployment aligned to construction progress.

Regulatory implications Preliminary calculations indicate the highest applicable percentage ratio under Hong Kong Listing Rule 14.07 will exceed 5% but remain below 25%. The land purchase therefore constitutes a discloseable transaction, requiring public announcement but not shareholder approval or circular issuance. Dtech will release further details upon formal execution of the land grant contract.
