Acme International Holdings Limited on 17 July 2026 signed a placing agreement with Valuable Capital Limited to issue up to 50.00 million new shares under its existing general mandate at HK$0.20 per share.
The proposed issuance equates to 4.92% of the current issued share capital and 4.69% of the enlarged share base. The placing price represents a 5.66% discount to the 17 July closing price of HK$0.212 and aligns with the five-day average closing price of approximately HK$0.20. Net of the 1.5% placing commission and related expenses, the net placing price is estimated at HK$0.194 per share.
Gross proceeds are expected to reach HK$10.00 million, with net proceeds of about HK$9.70 million earmarked for general working-capital needs, including professional fees, staff costs, office rental and utilities. The shares will be allotted under the remaining 203.43 million-share general mandate approved on 22 June 2026; no further shareholder approval is required.
At least six independent third-party investors will be procured on a best-effort basis, and none is expected to become a substantial shareholder. Post-placement, the largest shareholder, Treasure Ship Holding Limited, will see its stake diluted from 21.55% to 20.54%, while public float will decrease from 64.10% to 61.10%.
Completion is conditional on Hong Kong Stock Exchange listing approval and other consents by the 7 August 2026 long-stop date. The placing agent may terminate the agreement under specified adverse market or company events.
Over the past 12 months, Acme International raised HK$11.60 million in September 2025 and HK$16.10 million in December 2025 through two separate share placings, allocated to green power initiatives and working-capital purposes.
The company focuses on AI-enabled electricity trading, renewable energy technical services, and the development and sale of green power generation and energy-storage systems, alongside design-and-build solutions for building-maintenance units.
