CR Construction AGM: Shareholders Back All Resolutions With 100% Support, Renewing Mandates and Board Line-up

CR Construction Group Holdings Limited reported unanimous shareholder approval for every item on the agenda at its 18 June 2026 annual general meeting (AGM). All votes were conducted by poll, with Tricor Investor Services acting as scrutineer.

Total voting base • Issued shares as at AGM date: 500.00 million • Shares voted on each ordinary resolution: 371.35 million, equivalent to 74.27% of shares in issue.

Key outcomes

1. Financial Statements Adopted – 371.35 million votes (100%) in favour of the 2025 audited consolidated financial statements and accompanying reports.

2. Board Re-elections and Remuneration – Re-election of executive directors Mr. Zhang Guanhua, Mr. Jiang Wen, and Mr. Yang Haojiang, and non-executive director Mr. Jin Hongliang, all passed with 100% support. – Authorisation for the board to fix directors’ remuneration also secured 100% approval.

3. Auditor Reappointment – KPMG reappointed as external auditor; board authorised to fix remuneration. Votes in favour: 371.35 million (100%).

4. General Mandates Renewed – Shareholders granted the board fresh mandates to issue new shares, repurchase up to 10% of issued shares, and extend the issue mandate by the amount of repurchased shares. Each sub-resolution received 100% support.

5. Articles of Association Updated – Special resolution approving amendments to, and adoption of, a new amended and restated Articles of Association garnered 371.30 million votes in favour, comfortably surpassing the 75% threshold.

Governance snapshot post-AGM • Board composition: three executive directors (Zhang Guanhua, Jiang Wen, Yang Haojiang), one non-executive director (Jin Hongliang), and four independent non-executive directors (Tse Wai Chun Paul JP, Ho Man Yiu Ivan, Dong Yuk Lai Petrina, Lai Yuk Fai Stephen JP).
