Success Universe to Seek 10% Share Buyback and 20% Issuance Mandates at 4 June AGM

Success Universe Group will convene its annual general meeting on 4 June 2026 in Hong Kong, where shareholders will vote on three key proposals:

1. Re-election of Directors • Non-executive director Mr. Choi Kin Pui, Russelle and independent non-executive director Mr. Chin Wing Lok, Ambrose will retire by rotation and offer themselves for re-election. • Each currently receives an annual director’s fee of HK$144,000 and has no family or financial ties with controlling shareholders.

2. 10% Share Repurchase Mandate • The board seeks authority to repurchase up to 492.65 million shares, representing 10% of the 4.93 billion shares in issue as of 24 April 2026. • Controlling shareholder Silver Rich holds 3.53 billion shares (71.61%). A full buyback would lift its stake to 79.57% while maintaining public float above 25%.

3. 20% General Issuance Mandate • Directors also request approval to issue up to 985.30 million new shares, equivalent to 20% of current issued share capital. • Any shares repurchased under the buyback mandate will be added to the issuance limit.

Administrative Details • Shareholders on record by 29 May 2026 (book closure 1–4 June) are eligible to vote. • All resolutions will be decided by poll.

No treasury shares are outstanding, and the company confirms that the proposed mandates will remain in force until the next AGM or earlier revocation.
