Bilibili Inc. submitted a Next Day Disclosure Return to the Hong Kong Stock Exchange on 16 September 2026, detailing minor changes to its Class Z share capital as of 15 September 2026.
On 15 September 2026, a total of 37,356 Class Z ordinary shares were issued under the Second Amended and Restated 2018 Share Incentive Plan, equivalent to 0.0089 % of the Company’s 418.69 million issued shares (Class Y and Class Z combined) before the transaction. • 31,040 shares were issued to non-director participants upon option exercise at a volume-weighted average price of USD 3.3731 per share. • 6,316 shares were delivered to a director upon vesting of restricted share units at no consideration.
The new issuance increased the outstanding Class Z share count from 338.99 million to 339.03 million. Including 79.70 million Class Y shares, the Company’s total issued share capital stood at 418.73 million shares on 15 September 2026.
Separately, 6.80 million Class Z shares (repurchased on 4 September 2026 at an average price of HKD 115.38 per share) remain outstanding but have not yet been cancelled. In addition, 6.31 million Class Z shares are reserved for future issuance under existing share incentive schemes.
The Board of Directors confirmed that all share issuances and repurchases were duly authorised and executed in full compliance with Hong Kong listing rules and relevant regulatory requirements.
