Cognex agreed to acquire the robotics company RealSense, an Intel spin-off, for about $500 million.
RealSense will bring a portfolio of depth-sensing cameras and perception-guided robots to Cognex, which makes products to help businesses automate tasks.
The company was founded by Intel in 2014 and spun out in 2025. It uses perception and camera technologies to make autonomous quadruped and humanoid robots.
Cognex is financing the deal from existing cash on its balance sheet. It expects to provide a tax retention program for RealSense employees, as well as restricted stock units.
Prior to the deal's closing, which is slated for the fourth quarter, RealSense will spin out its facial authentication product line into an independent company.
RealSense is expected to generate $80 million to $90 million in annual revenue this year, which would represent more than 50% growth from the previous year.
